Please read these Terms and Conditions carefully before engaging with Selasih Group or using our website. By submitting an enquiry, entering into a service agreement, or otherwise requesting our advisory services, you agree to be bound by these terms. If any part of these terms is not acceptable to you, we respectfully ask that you refrain from proceeding.
1. Definitions
Throughout this document, the following terms carry the meanings set out below:
- "We", "Us", "Our" — Selasih Group, a technology innovation advisory practice registered and operating in Malaysia.
- "You", "Client", "User" — the individual or organisation accessing our website or engaging our advisory services.
- "Services" — the advisory engagements and workshops offered by Selasih Group, as described on our website and in written engagement agreements.
- "Deliverable" — any written output produced during an engagement, including posture notes, programme charters, operational practice guides, and portfolio review documents.
- "Agreement" — the written or electronic engagement agreement between Selasih Group and a Client, incorporating these Terms and Conditions.
- "Website" — the Selasih Group website accessible at selasiha-group.club and its subdomains.
- "Content" — all text, documents, templates, methodologies and other materials made available on our Website or produced during an engagement.
2. Acceptance of Terms
These Terms and Conditions constitute a binding legal agreement. By using our Website or requesting our Services, you confirm that:
- You are at least 18 years of age, or are authorised to act on behalf of an organisation;
- You have the authority to enter into this Agreement on behalf of your organisation where applicable;
- You have read, understood and agree to be bound by these terms.
Engagement of our Services constitutes acceptance of these terms in their entirety. We reserve the right to decline any engagement at our discretion.
3. Service Description
Selasih Group provides technology innovation programme advisory services to organisations in Malaysia and the wider region. Our Services are designed to assist technology and strategy leadership in considering, designing and reviewing small, disciplined programmes of considered experimentation with emerging technologies.
Our current service offerings are:
- Innovation Posture Conversation — a short advisory engagement resulting in a written posture note.
- Innovation Programme Advisory — a longer engagement to design or revise an internal innovation programme, resulting in a programme charter and operational practices.
- Experiment Review Workshop — a two-day facilitated workshop resulting in a written portfolio review document.
Service availability is subject to practitioner capacity. We serve clients primarily in Malaysia; engagements for organisations outside Malaysia are considered on a case-by-case basis.
4. Engagement Process
All engagements begin with a written agreement specifying the scope, deliverables, timeline and fee. No work commences without a signed or electronically confirmed agreement. We do not accept verbal instructions as a basis for commencing an engagement.
Changes to scope after commencement require a written variation agreed by both parties. We will advise promptly if a requested change would affect the fee or timeline.
5. User Responsibilities
To allow us to conduct an engagement effectively, you agree to:
- Provide accurate, complete and timely information about your organisation and its existing practices;
- Make the appropriate personnel available for conversations, workshops or review sessions as agreed;
- Use our Website and services only for lawful purposes;
- Refrain from using our deliverables in a manner that misrepresents their findings or origin;
- Not attempt to reverse-engineer, reproduce or commercialise our methodologies without written permission;
- Not use our Website in any manner that could damage, disable or impair it.
6. Intellectual Property
All methodologies, frameworks, templates and process designs employed by Selasih Group remain the sole property of Selasih Group. These are not transferred to the Client as part of any engagement.
Deliverables produced specifically for a Client — posture notes, programme charters, portfolio reviews — are provided to that Client for their internal use under a limited, non-exclusive, non-transferable licence. Clients may not publish, sell, sub-licence or otherwise distribute these deliverables to third parties without prior written consent.
All Content on the Website is the property of Selasih Group and is protected under applicable Malaysian intellectual property law. Reproduction for commercial purposes is not permitted.
7. Payment Terms
Fees are quoted in Malaysian Ringgit (RM) and are inclusive of applicable taxes unless stated otherwise. Current service fees are:
- Innovation Posture Conversation: RM 870
- Innovation Programme Advisory: RM 2,720
- Experiment Review Workshop: RM 1,180
Payment terms are specified in each engagement agreement. Where not otherwise agreed, a deposit of 50% is due upon signing the engagement agreement; the balance is due upon delivery of the final deliverable.
We accept payment via bank transfer. Payment details are provided in the engagement agreement. Fees are non-refundable once an engagement has commenced, except as set out in Section 13.
We reserve the right to revise our fees from time to time. Revised fees apply to new engagements only and do not affect agreements already in force.
8. Service-Specific Terms
Innovation Posture Conversation: The posture note is a considered professional assessment based on the information shared during the engagement. It represents our judgement at a point in time and is not a binding recommendation. The client retains full discretion over any decisions taken in response to the note.
Innovation Programme Advisory: The programme charter and operational practices are provided as a starting point for the client's own programme design. Implementation decisions rest with the client. We do not guarantee outcomes resulting from the adoption or partial adoption of any recommended practices.
Experiment Review Workshop: The two-day workshop must be conducted with the agreed team. If key participants are unavailable, we reserve the right to reschedule. The written portfolio review reflects the collective discussion of the workshop and does not represent an audit or independent technical assessment.
9. Confidentiality
We treat all information shared by clients during an engagement as confidential. We do not share client-specific information with third parties except where required by law or with the client's explicit written consent.
We ask that clients treat our deliverables, including the methodologies and frameworks evident within them, with equivalent discretion. The distribution of deliverables outside the client's organisation requires our prior written agreement.
10. Disclaimers
Our Services are provided in good faith on the basis of the information available at the time of the engagement. We do not represent that our recommendations will produce any specific business outcome. Innovation programmes involve inherent uncertainty; our role is to assist in making that uncertainty more legible and more manageable, not to remove it.
Our Website is provided on an "as is" basis. While we take reasonable care to ensure the accuracy of information on the Website, we do not warrant that it is complete, current or free of error.
Nothing in our Services constitutes legal, financial or regulatory advice. Clients should seek appropriate professional advice for decisions with legal, financial or regulatory consequence.
11. Limitation of Liability
To the fullest extent permitted by Malaysian law, our total liability for any claim arising from an engagement is limited to the fee paid by the client for that specific engagement.
We shall not be liable for indirect, consequential or special losses, including loss of revenue, loss of anticipated savings, loss of business opportunity, or reputational damage, whether or not such losses were foreseeable at the time of the engagement.
We are not liable for delays or failure to perform resulting from circumstances beyond our reasonable control, including natural events, public health emergencies, infrastructure failures or changes in applicable law.
12. Indemnification
You agree to indemnify and hold harmless Selasih Group, its practitioners and associates from any claims, losses or expenses (including reasonable legal costs) arising from your use of our Services or Website in a manner that breaches these terms, or from any misrepresentation of our deliverables to third parties.
13. Termination
Either party may terminate an engagement by written notice. If the client terminates after work has commenced, fees for work completed to that point are payable. If Selasih Group terminates for reasons other than breach by the client, we will refund any fees paid for work not yet commenced.
We reserve the right to terminate an engagement where a client provides materially misleading information, fails to make agreed participants available, or acts in a manner that would compromise the integrity of the engagement or our practice.
Sections 6, 9, 10, 11 and 12 of these Terms survive termination.
14. Dispute Resolution
These Terms and all engagements are governed by the laws of Malaysia. The courts of Malaysia have jurisdiction over any dispute arising from these Terms or from any engagement.
Before commencing formal proceedings, both parties agree to attempt to resolve any dispute through direct discussion in good faith. If a resolution is not reached within 30 days, either party may refer the matter to mediation under the rules of the Malaysian Mediation Centre, before proceeding to litigation.
15. General Provisions
Entire agreement: These Terms, together with any signed engagement agreement, constitute the entire agreement between the parties and supersede all prior discussions or representations.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
Waiver: Failure to enforce any provision on one occasion does not constitute a waiver of that provision on any future occasion.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to a successor practice with notice to the client.
Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.
16. Changes to Terms
We may revise these Terms from time to time. Revised terms will be published on this page with an updated effective date. Changes do not apply retrospectively to engagements already in force at the date of the change.
Continued use of our Website or submission of an enquiry after a revision is posted constitutes acceptance of the revised terms.
